1. Agreement to these Terms
BidPopular (the "Service") is operated by BIDPOPULAR LLC, a limited liability company registered in the State of Washington, USA ("BidPopular," "we," "us," or "our"). By creating an account, placing a bid, uploading content, or otherwise using the Service, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service.
These Terms incorporate our Privacy Policy, Cookie Policy, Community Guidelines / Acceptable Use Policy, and DMCA Policy.
2. What BidPopular is
BidPopular is a neutral technology platform. We provide the technical ability for users to bid for, and display, short user-submitted content during live airtime slots on a continuously running live stream. We do not create, select, endorse, or verify the accuracy or legality of user content, except for the limited moderation described in these Terms and the Acceptable Use Policy.
Live-only. Content submitted for a slot airs live, in real time. BidPopular does not offer on-demand playback of user content and does not create permanent copies of user content for distribution, syndication, archiving, or resale. Transient technical copies (upload buffers, transcoding artifacts, and short-lived caches) exist only as strictly necessary to deliver the live airing and are deleted on our ordinary technical schedule.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for all activity on your account and for keeping your credentials secure. Impersonation, shared logins, resale of accounts, and automated account creation are prohibited. You must provide accurate information and keep it current.
4. User content: your responsibility
You are solely responsible for all content you upload, submit, schedule, or display through the Service, including video, audio, music, images, text, links, overlays, and any third-party material appearing in your clip.
You represent and warrant that you own, or have obtained, all rights, licenses, consents, releases, and permissions necessary to submit your content and to have it displayed live on the Service, including rights to any music, footage, trademarks, brands, likenesses, and voices appearing in it. Background music and other third-party audio are your responsibility; a slot purchase does not grant you any music or media license.
We do not claim ownership of your content. You retain all rights you hold in it.
Limited license. You grant BidPopular a limited, non-exclusive, worldwide, royalty-free license to host, transcode, transmit, and publicly display your content solely for the purpose of airing it live during the slot(s) you purchased or were awarded, together with the incidental technical processing required to do so. This license also covers a static thumbnail or preview frame used within the Service to identify your slot, and it ends when your slot ends or the content is removed, except for transient copies still clearing our systems.
You may withdraw content before it airs by deleting it in the app. Deleting content after it airs does not undo the live transmission.
5. Moderation and removal
We may — but have no obligation to — review, screen, refuse, delay, or remove any content, and we may suspend a slot or account, at our discretion, including for violations of these Terms or the Acceptable Use Policy, or upon a notice of claimed infringement. Rejected clips are not refunded. Removal decisions do not make us a publisher of, or responsible for, user content.
6. Intellectual property and copyright claims
BidPopular has no obligation to monitor content for copyright infringement, and the live-only nature of the Service means we do not maintain a distributable library of user content. We do respond to valid notices under the Digital Millennium Copyright Act — see our DMCA Policy for the notice-and-takedown and counter-notice process.
We maintain a repeat infringer policy: accounts of users who repeatedly infringe the intellectual property rights of others will be terminated in appropriate circumstances.
Because content is created and submitted by users, claims regarding user content should be directed to the uploading user. All BidPopular names, logos, software, and design elements remain our property; nothing in these Terms grants you a license to them.
7. Indemnification
You agree to defend, indemnify, and hold harmless BIDPOPULAR LLC and its members, officers, employees, contractors, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content, including any intellectual property, publicity, privacy, or defamation claim; (b) your use of the Service; (c) your violation of these Terms or of any law; or (d) your violation of any third-party right. We may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.
8. Credits, bidding, and payments
Credits are a virtual, in-app currency representing a limited, revocable, non-transferable license to access certain features of the Service, including placing bids on airtime slots. Credits are not money, not a deposit, not stored value, and not a claim against us. They have no cash value outside the Service, cannot be exchanged for cash, transferred between accounts, sold, or bequeathed, and are non-refundable except where a refund is required by applicable law or expressly offered by us (see our Trust & Safety page for our voluntary top-up refund window).
We may change credit pricing, bid increments, slot lengths, and feature access, and we may modify, suspend, or revoke credits obtained through fraud, chargeback, error, or violation of these Terms. Credits associated with an account terminated for cause are forfeited.
Bidding is not gambling. A bid is an offer to purchase the right to display your content during a defined live airtime slot. Outcomes are determined by the bids placed, not by chance, and there is no wager, prize of chance, or payout. Nothing on the Service is a lottery, sweepstakes, contest of chance, or wagering activity.
We are not a financial institution. BidPopular is not a bank, money services business, money transmitter, or investment platform. Card payments are processed by Stripe under Stripe's own terms; we do not store full card numbers.
Winning bids are final and credits are deducted in real time. Chargebacks initiated without first contacting us may result in suspension.
9. Prohibited conduct
You may not: manipulate auctions (self-bidding, collusion, bots, or scripted bidding); upload illegal, infringing, hateful, harassing, sexually explicit, or deceptive content; harass or abuse others in chat; impersonate any person or organization; scrape, reverse engineer, or interfere with the Service or its security; or use the Service to defraud others. 10. Suspension and termination
We may suspend or terminate your account or access, in whole or in part, with or without notice, for violation of these Terms, suspected fraud or chargebacks, repeat infringement, risk to the Service or other users, or to comply with law. You may close your account at any time from your account page. Provisions that by their nature should survive termination — including indemnification, disclaimers, limitation of liability, and governing law — survive.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, that a clip will air at an exact second, that any level of viewership or commercial result will occur, or that user content is lawful or accurate. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDPOPULAR LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO BIDPOPULAR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
13. Governing law and venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. You and BIDPOPULAR LLC agree to the exclusive jurisdiction and venue of the state courts located in King County, Washington, or the United States District Court for the Western District of Washington, and you waive any objection to venue or inconvenient forum.
14. Modifications
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms; material changes will be communicated in-app or by email and the "Last updated" date above will change. Continued use after changes take effect constitutes acceptance. If you do not agree, stop using the Service and close your account.
15. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
16. Entire agreement; assignment; no waiver
These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and BIDPOPULAR LLC regarding the Service and supersede all prior agreements and understandings. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it. Nothing in these Terms creates a partnership, employment, agency, or joint venture.

- Are BidPopular credits refundable, and do they have cash value?

- Who owns the clips uploaded to BidPopular?
- You do. We claim no ownership of your content. You grant us only a limited, non-exclusive, royalty-free license to host, transcode, transmit and publicly display your clip for the slot it was awarded, plus a static thumbnail used inside the Service. That license ends when your slot ends or the content is removed.
- How old do I have to be to use BidPopular?
- You must be at least 18 years old and able to form a binding contract. You are responsible for all activity on your account and for keeping your credentials secure. Shared logins, impersonation, account resale, and automated account creation are prohibited.
- Which law governs the Terms and where are disputes heard?
- The Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules. Disputes are heard exclusively in the state courts located in King County, Washington, or in the United States District Court for the Western District of Washington.
